Hey ZOE Members,

Sunday, February 16 is our Annual Business Meeting. There are a few important items that you need to be aware of in preparation for this meeting.

First, the gathering begins at 6pm. Please come a few minutes early to allow yourself time to get checked in so we can start promptly at 6. Also, please make sure to register any children birth-grade 5 who will be utilizing our childcare. Click HERE to register them.

There are two important items that will be voted on for this meeting. The first is selecting our new board members. After processing all candidates through our required expectations and prayerfully considering the decision, the nomination committee is presenting two candidates for a confirmation vote. Each candidate will require a majority vote to be approved for the board.

Also, we are presenting a resolution to amend and replace our current Articles of Incorporation and Bylaws with a new set of documents. To understand the process and why this matters, please take a few minutes to watch the video below prior to the meeting on Sunday. Also, below you will find links to the new Articles of Incorporation and Bylaws so that you can look over them prior to Sunday. Finally, the official resolution that will be voted on is listed below for your reference.

PLEASE NOTE – Both the new Articles of Incorporation and Bylaws have been updated from last week. There were a few minor corrections that were addressed with the help of our membership. Also, in preparation for submitting the Articles of Incorporation to the state, there were a few mandatory items that needed to be included. This includes the opening explanation as well as articles 9-13. None of these make changes to the substance. They are legal requirements of the state of MN.

‍Resolution #1 ‍

WHEREAS, the Board of ZOE recognized the need to address deficiencies within our current Articles of Incorporation and Bylaws,

And WHEREAS, the Board of ZOE empowered a committee to assemble new Articles of Incorporation and Bylaws,

And WHEREAS, the Board of ZOE has voted to present these new Articles of Incorporation and Bylaws to the membership for ratification,

BE IT RESOLVED, that ZOE Church will amend and restate our current Articles of Incorporation and Bylaws by replacing them with the new Articles of Incorporation and Bylaws as presented by the Board.
